Speak Thay provides language-learning programs designed to help students develop Spanish communication skills through structured practice, instruction, repetition, and speaking activities.

Speak Thay provides educational instruction and learning resources. We do not guarantee a specific level of fluency, proficiency, academic result, employment outcome, or other individual result because student progress depends on many factors, including participation, practice, attendance, and individual circumstances.

You must provide accurate and complete information when creating an account or enrolling in a program.

If a student is under the age of majority, enrollment and participation must be completed with the involvement and permission of a parent or legal guardian where required.

You are responsible for ensuring that the information associated with your account remains accurate and up to date.

Certain Services require you to create an account.

You are responsible for:

• Providing accurate information
• Maintaining the confidentiality of your login credentials
• Keeping your account secure
• Not sharing your account with another person
• Not allowing unauthorized individuals to access your course materials

You must notify Speak Thay promptly if you believe your account has been compromised.

Speak Thay may suspend or terminate an account if we reasonably believe that the account has been used in violation of these Terms.

When you enroll in a Speak Thay program, you receive a limited, personal, non-transferable right to access the Services associated with your enrollment.

Course access may include:

• Other educational materials provided by Speak Thay

Access is provided for the period and under the conditions associated with the program you purchased.

Unless expressly stated otherwise, purchasing a Speak Thay program does not transfer ownership of Speak Thay's educational materials or intellectual property to you.

Prices for Speak Thay programs and services are displayed on the website or presented during the enrollment process.

Unless otherwise stated, applicable charges are due according to the payment schedule selected at enrollment.

Speak Thay may use third-party payment processors, such as Stripe, to process payments.

By submitting payment information, you authorize the applicable payment provider to process charges associated with your enrollment according to the payment terms presented at checkout.

If a payment is declined, reversed, or otherwise not successfully completed, Speak Thay may restrict access to paid Services until the outstanding amount is resolved.

If you enroll in a program with recurring monthly payments, you authorize the applicable payment provider to charge your selected payment method according to the payment schedule presented to you at enrollment.

The amount, billing frequency, and cancellation terms will be presented before or during checkout.

You are responsible for canceling recurring payments according to the applicable cancellation procedure.

Simply stopping use of the course does not necessarily cancel a recurring payment obligation.

Speak Thay's cancellation and refund rules are described in the applicable Refund & Cancellation Policy.

By purchasing a program, you agree to the refund and cancellation terms applicable to that program.

Nothing in these Terms is intended to limit any rights you may have under applicable consumer-protection laws.

When a program includes live classes, students are expected to:

• Attend scheduled classes on time
• Participate respectfully
• Follow reasonable instructor directions
• Avoid disruptive behavior
• Respect other students
• Use appropriate language and conduct during class

Speak Thay may establish reasonable attendance, scheduling, rescheduling, or participation procedures for live classes.

Speak Thay may occasionally need to modify a class schedule, instructor, or delivery method. When reasonably possible, we will provide advance notice of material changes.

All content provided by Speak Thay is protected by applicable intellectual-property laws.

This may include:

• Books
• Workbooks
• Grammar materials
• Texts
• Audio
• Videos
• Worksheets
• Exercises
• Course lessons
• Graphics
• Logos
• Website content
• Student portal content
• Educational methodology and instructional materials

Unless expressly permitted by Speak Thay in writing, you may not:

• Copy or reproduce course materials for commercial purposes
• Sell or redistribute course materials
• Share paid course materials with people who are not enrolled
• Upload course materials to public websites
• Record and redistribute live classes
• Reproduce substantial portions of the course for another educational program
• Create derivative commercial materials from Speak Thay's proprietary course content

You may use the materials for your own personal educational purposes during your authorized access period.

The Speak Thay name, logo, trademarks, slogans, and other brand elements are owned by or licensed to Speak Thay and may not be used without permission, except where permitted by law.

Students may submit information, questions, comments, assignments, recordings, or other materials as part of the Services.

You retain ownership of content that you independently create, subject to any separate agreement.

By submitting content to Speak Thay for purposes of providing the Services, you grant Speak Thay the limited rights reasonably necessary to receive, store, review, and use that content to provide and improve the Services.

Speak Thay will handle personal information according to its Privacy Policy.

Speak Thay will not publicly identify or publish student work, testimonials, photographs, recordings, or other student content for marketing purposes without appropriate permission or another lawful basis.

You agree not to:

• Use the Services for unlawful purposes
• Share your account with others
• Attempt to gain unauthorized access to the website or student portal
• Interfere with the operation or security of the Services
• Copy or distribute paid course materials without authorization
• Record or distribute classes without authorization
• Harass, threaten, or discriminate against instructors, staff, or other students
• Impersonate another person
• Use the Services to distribute malware, spam, or harmful content
• Attempt to reverse engineer or improperly access any technology used to provide the Services

Speak Thay may suspend or terminate access for serious or repeated violations.

The Services may rely on third-party platforms and services, including payment processors, course platforms, membership systems, video-conferencing services, hosting providers, and other technology providers.

Your use of those third-party services may also be subject to their own terms and policies.

Speak Thay is not responsible for the independent operation, availability, or policies of third-party services.

We work to keep the website and Services available and functional, but we do not guarantee uninterrupted or error-free access.

Services may occasionally be unavailable because of:

• Maintenance
• Technical problems
• Internet or hosting issues
• Third-party service interruptions
• Security incidents
• Events outside our reasonable control

We may modify, suspend, or discontinue portions of the Services when reasonably necessary.

Speak Thay provides educational services and learning resources.

Individual results vary.

Your progress may depend on factors including:

• Attendance
• Participation

• Consistency
• Motivation
• Use of the provided learning materials

Speak Thay does not guarantee that a student will achieve a particular proficiency level or become fluent within a specific period.

Any examples of student results, testimonials, or expected outcomes presented on our website are not guarantees of future results.

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Speak Thay does not guarantee that the Services will always be uninterrupted, error-free, secure, or suitable for every individual's particular needs.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable law.

To the maximum extent permitted by applicable law, Speak Thay and its owners, employees, instructors, contractors, and service providers will not be liable for indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services.

To the extent permitted by applicable law, Speak Thay's total liability arising from a particular claim relating to the Services will not exceed the amount you paid to Speak Thay for the applicable Services during the twelve months preceding the event giving rise to the claim.

This limitation does not apply where liability cannot legally be limited or excluded.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Speak Thay and its owners, employees, instructors, contractors, and service providers from claims, damages, liabilities, losses, and expenses arising from your:

• Violation of these Terms
• Misuse of the Services
• Unauthorized use or distribution of Speak Thay materials
• Violation of another person's rights
• Violation of applicable law

Speak Thay may suspend or terminate your access to the Services if:

• You violate these Terms
• You engage in abusive or unlawful conduct
• You fail to make required payments
• Your account creates a security risk
• Termination is otherwise permitted under your enrollment agreement

Termination does not automatically eliminate payment obligations that arose before termination, unless otherwise required by applicable law or the applicable cancellation policy.

Sections concerning intellectual property, payments owed, disclaimers, limitations of liability, and other provisions that reasonably should survive termination will continue to apply.

Speak Thay may update these Terms from time to time.

When changes are made, we will update the “Last Updated” date above.

If we make material changes, we may provide additional notice when appropriate.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

These Terms will be governed by the laws applicable to Speak Thay and its operations, without regard to conflict-of-law principles, except where applicable consumer-protection laws provide otherwise.

Any mandatory rights or protections provided by the laws of your state or jurisdiction remain applicable.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, and any other terms specifically incorporated into your enrollment or purchase agreement, constitute the agreement between you and Speak Thay concerning your use of the Services.
